Governing Law and Jurisdiction

Arbitration

Except as provided for herein, any dispute or disagreement which may arise between in connection with either any interpretation of this Agreement or the performance or nonperformance thereof shall be settled by a board of three arbitrators without appeal under the rules of the America Arbitration Association. Unless otherwise agreed to by both parties, any arbitration shall be conducted in the city of Orlando, Florida in the United States of America. The judgment upon any award rendered by the arbitration tribunal may be entered in any court having jurisdiction thereof, for the purpose of judicial enforcement. The arbitrators will possess the powers to issue injunctions, restraining orders and other equitable relief in connection with such arbitration. All costs and expenses of such arbitration must be paid by the losing party unless otherwise allocated by the arbitrators. Any disputes arising out of the patent laws of the United States of America or other jurisdictions are excluded from this agreement and the arbitration required under this agreement is not required for any disputes concerning patent law. Nothing in this section shall affect the right of TechsAmerica to request an injunction, restraining order or other equitable relief from a court of competent jurisdiction.
